IMPORTANT - READ CAREFULLY: This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User," "you," or "your") and BinaryBridge Inc. ("Company," "we," "our," or "us") for the use of our software products. By installing, copying, or using our software, you agree to be bound by the terms of this Agreement.
1. Software Products Covered
This EULA applies to the following BinaryBridge Inc. software products:
🌐 NetInventory
Network discovery and security scanning tool
🖥️ ITInventory
IT asset management and tracking software
📄 PDF Studio
Professional PDF editing application
This Agreement also applies to any updates, supplements, add-ons, or internet-based services components of the Software, unless accompanied by separate terms.
2. Grant of License
2.1 License Grant
Subject to the terms of this Agreement and payment of applicable fees, BinaryBridge Inc. grants you a limited, non-exclusive, non-transferable license to:
- Install and use the Software on computers owned or controlled by you
- Use the Software for your personal or internal business purposes
- Make one backup copy of the Software for archival purposes
2.2 License Types
The Software is available under the following license types:
Trial License
- Duration: 30 days from first installation
- Full functionality during trial period
- Single installation per trial
- For evaluation purposes only
- Automatically expires after 30 days
Lifetime License
- Perpetual license for the purchased version
- Includes minor updates (e.g., 1.0 to 1.x)
- Major version upgrades may require additional purchase
- Limited number of activations (typically 2-3 machines)
- Hardware-bound activation for security
2.3 Activation
The Software requires online activation using a valid license key. Activation:
- Verifies your license key is valid and not exceeded
- Associates your license with specific hardware
- Requires internet connection during activation
- May be transferred to new hardware by contacting support
3. License Restrictions
You may NOT:
- Copy or distribute the Software except as expressly permitted
- Modify, adapt, or translate the Software
- Reverse engineer, decompile, or disassemble the Software, except where permitted by law
- Remove or alter any proprietary notices, labels, or marks
- Rent, lease, or lend the Software to third parties
- Sell, transfer, or sublicense your license without written consent
- Use the Software for illegal purposes or in violation of any laws
- Circumvent any licensing, activation, or copy protection mechanisms
- Share license keys with unauthorized parties
- Use the Software on more machines than your license permits
- Use the Software to develop competing products
4. Intellectual Property Rights
4.1 Ownership
The Software is licensed, not sold. BinaryBridge Inc. and its licensors retain all rights, title, and interest in the Software, including:
- All copyrights, patents, and trade secrets
- All trademarks and service marks
- All source code, object code, and documentation
- All derivative works and improvements
4.2 Third-Party Components
The Software may include third-party components subject to separate license terms. Such terms are provided in the Software documentation or installation files.
4.3 Feedback
If you provide suggestions, feedback, or ideas regarding the Software, you grant us a perpetual, royalty-free license to use such feedback for any purpose.
5. Data Collection and Privacy
5.1 Data Collected
The Software may collect:
- License validation data: License key, hardware identifiers for activation
- Usage analytics: Feature usage statistics (anonymized)
- Crash reports: Error information to improve stability
- Update checks: Version information to notify of updates
5.2 Your Data
Data you create or store using the Software (inventories, PDFs, configurations) remains your property. We do not access, collect, or transmit your personal data files.
5.3 Privacy Policy
Our collection and use of data is governed by our Privacy Policy, which is incorporated into this Agreement by reference.
6. Updates and Support
6.1 Software Updates
We may provide updates, patches, or new versions of the Software. Updates may:
- Add new features or functionality
- Fix bugs or security vulnerabilities
- Remove features or change functionality
- Require acceptance of updated license terms
6.2 Automatic Updates
The Software may check for and install updates automatically. You can disable automatic updates in the Software settings, though we recommend keeping the Software updated.
6.3 Technical Support
Technical support availability depends on your license type:
- Trial License: Community support and documentation
- Lifetime License: Email support included
Support is provided at our discretion and may be modified or discontinued at any time.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BINARYBRIDGE INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS
- QUIET ENJOYMENT
- INTEGRATION OR COMPATIBILITY
We do not warrant that:
- The Software will meet your specific requirements
- The Software will operate uninterrupted or error-free
- Defects in the Software will be corrected
- The Software is free of viruses or harmful components
- The results obtained from the Software will be accurate or reliable
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- BINARYBRIDGE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE LICENSE
- WE ARE NOT LIABLE FOR LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
These limitations apply regardless of:
- The cause of damages
- The theory of liability (contract, tort, or otherwise)
- Whether we were advised of the possibility of such damages
Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless BinaryBridge Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Software
- Your violation of this Agreement
- Your violation of any third-party rights
- Your negligence or misconduct
10. Term and Termination
10.1 Term
This Agreement is effective from the date you first install or use the Software and continues until terminated.
10.2 Termination by You
You may terminate this Agreement at any time by:
- Uninstalling the Software from all devices
- Destroying all copies in your possession
- Notifying us of termination (optional)
10.3 Termination by Us
We may terminate this Agreement immediately if you:
- Breach any term of this Agreement
- Fail to pay applicable fees
- Use the Software for unauthorized purposes
- Attempt to circumvent license protections
10.4 Effect of Termination
Upon termination:
- All rights granted to you under this Agreement cease
- You must uninstall and destroy all copies of the Software
- Sections 4, 7, 8, 9, and 12 survive termination
- No refund is provided for terminated licenses (except as required by law)
11. Export Compliance
The Software may be subject to Canadian and international export laws and regulations. You agree to:
- Comply with all applicable export and import laws
- Not export the Software to prohibited countries or persons
- Not use the Software for prohibited purposes (e.g., weapons development)
12. Governing Law and Disputes
12.1 Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
12.2 Jurisdiction
Any disputes arising from this Agreement shall be resolved exclusively in the courts located in the Province of Ontario, Canada.
12.3 Dispute Resolution
Before initiating legal action, you agree to attempt informal resolution by contacting us at info@binarybridge.ca.
13. General Provisions
13.1 Entire Agreement
This Agreement constitutes the entire agreement between you and BinaryBridge Inc. regarding the Software and supersedes all prior agreements.
13.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
13.3 Waiver
Failure to enforce any provision does not constitute a waiver of our right to enforce it later.
13.4 Assignment
You may not assign this Agreement without our written consent. We may assign our rights without restriction.
13.5 Amendments
We may modify this Agreement by posting updated terms on our website. Continued use of the Software after changes constitutes acceptance.
13.6 Language
This Agreement is prepared in English. In case of conflict between English and any translated version, the English version prevails.

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
